Financial Performance Overview

63 moons technologies limited reported exceptional financial results for FY26, with standalone net profit surging to ₹1,746.55 crore from ₹5.95 crore in FY25. This massive increase was primarily driven by exceptional gains totaling ₹1,169.24 crore from strategic divestments, including the sale of the STP-Gate business undertaking (₹126.71 crore gain) and the complete divestment of the company's stake in NTT Data Payment Services India Limited (₹1,456.57 crore gain).

Total standalone income stood at ₹2,667.15 crore with revenue from operations at ₹1,089.57 crore. However, on a consolidated basis, the company reported a net loss of ₹224.34 crore (₹2,243.37 lakhs), reflecting challenges in subsidiary operations despite the strong standalone performance.

NSEL Settlement Scheme Breakthrough

The most significant development was the approval and implementation of the NSEL settlement scheme. The Scheme of Arrangement between National Spot Exchange Limited (NSEL) and specified creditors was approved by 92.81% of creditors by number and 91.35% by value. Sanctioned by NCLT on November 28, 2025, and upheld by NCLAT and Supreme Court, the scheme involves a ₹1,950 crore payment by 63 moons to settle claims of approximately ₹4,610 crore from 5,682 creditors with claims above ₹10 lakhs.

Dividend Declaration and Historical Arrears

The Board recommended a final dividend of ₹2 per share (100%) for FY26, subject to shareholder approval at the 38th Annual General Meeting scheduled for September 23, 2026, and necessary judicial approvals. However, due to a Bombay High Court order dated September 30, 2015, previous dividends aggregating ₹930.79 crore for FY2014-15, FY2016-17 to FY2020-21, and FY2022-23 to FY2024-25 remain undistributed.

Business Transformation and Legal Proceedings

The company has transformed into a technology-led enterprise focused on securing the digital economy through its 63SATS cybersecurity ecosystem. Key business verticals include cybersecurity solutions, exchange technology services for Metropolitan Stock Exchange, risk solutions, and the QiLegal LegalTech platform.

Despite the settlement progress, the company continues to face multiple legal proceedings related to the NSEL payment default of July 2013, including civil suits, FIRs/charge sheets from EOW, CBI, ED, and SFIO, MPID Act attachments by Maharashtra Government, and PMLA attachments by Enforcement Directorate. The auditors issued a qualified opinion due to uncertainty regarding the outcome of these ongoing legal proceedings.

Corporate Governance and Meeting Details

The 38th Annual General Meeting will be held on September 23, 2026 via video conferencing, with book closure from September 17-23, 2026. The meeting agenda includes adoption of financial statements, dividend declaration, and director reappointments. Remote e-voting will be available from September 19-22, 2026, with September 16, 2026 as the cut-off date for eligibility.
