Financial Performance

Consolidated revenue surged 108% YoY to ₹264.42 crore (from ₹126.94 crore) while net profit increased 61% to ₹8.52 crore. Standalone revenue grew 52.5% to ₹170.75 crore with net profit of ₹7.38 crore. Total assets expanded 51% to ₹247 crore, net worth increased 35% to ₹134 crore, and borrowings rose to ₹47 crore from ₹27 crore. Receivable days improved significantly to 105 from 136 in FY25.

Capital Structure & Funding

The company raised ₹124.03 crore through preferential issuance of 3,96,90,000 convertible warrants at ₹31.25 each, with ₹51.39 crore received to date. Post-warrant conversion, issued capital increased to ₹69.43 crore (6,94,36,948 equity shares). The company secured its first credit rating (BBB-/Stable) from Infomerics for ₹100 crore bank facilities.

Business Developments & Strategy

ACS Technologies secured its first order for safety-critical electronics under India's railway signalling modernisation programme and entered international partnerships for AI and IoT solutions. The company established strategic collaborations in space-defense domain and incorporated Innovistas Innovations for enterprise digital transformation in Middle East. Manufacturing expansion commenced at the Chegunta campus (6.42 acres).

Audit & Compliance Matters

Auditors identified revenue recognition as the key audit matter due to significant judgement required in applying Ind AS 115 to government and defense turnkey contracts, involving performance obligation identification, control assessment, and progress measurement. The audit opinion was based partly on subsidiary audits, with IOTIQ Innovations contributing ₹93.66 crore turnover and ₹1.14 crore PAT.

Dr. MJA Vinoth (38 years IAF experience) was appointed as Chief Executive Officer in August 2026. The board consists of 5 members (3 Independent, 2 Executive) and met 10 times during FY26.
