Financial Results

The Board considered, adopted, and approved the Standalone Un-Audited Financial Results for the Quarter ended June 30, 2025. The financial results were prepared in accordance with Ind-AS and were approved by the Audit Committee of the Company. M/s. Prateek Gupta & Co., Chartered Accountants (Statutory Auditors of the Company) issued a Limited Review Report on the unaudited financial results for the quarter.

Secretarial Auditor Changes

The Board took note of the resignation of M/s SJV & Associates, Practicing Company Secretaries from the office of Secretarial Auditor, effective from the closing hours of August 13, 2026.

The Board appointed M/s Nisarg Sharma & Associates, Practicing Company Secretaries to fill the casual vacancy caused by this resignation, effective from August 14, 2026. They will hold office until the ensuing 54th Annual General Meeting of the company.

Additionally, the Board appointed M/s Nisarg Sharma & Associates, Peer Reviewed Practicing Company Secretaries, as Secretarial Auditor of the Company pursuant to Regulation 24A of SEBI Listing Regulations and Section 204 of the Companies Act, 2013. This appointment is for a term of five consecutive financial years commencing from April 1, 2026, until March 31, 2031, subject to shareholder approval at the ensuing 54th Annual General Meeting.

Related Party Transactions

On the recommendation of the Audit Committee, the Board approved two Omnibus Material Related Party Transactions:

1. Between Ahmedabad Steelcraft Limited and ABI Energy Solutions Limited for an aggregate amount not exceeding ₹100,00,00,000 (Rupees Hundred Crores) during Financial Year 2026-27

2. Between Ahmedabad Steelcraft Limited and ABI Infratech Private Limited for an aggregate amount not exceeding ₹25,00,00,000 (Rupees Twenty Five Crores) during Financial Year 2026-27

Both transactions are subject to applicable provisions of law and requisite approvals.
