Financial Performance

FY26 standalone sales decreased 10.5% to ₹12,153.02 lakhs from ₹13,575.71 lakhs in FY25, with net profit declining 29% to ₹1,406.91 lakhs from ₹1,982.90 lakhs. Consolidated performance showed similar trends with sales of ₹12,156.64 lakhs and net profit of ₹1,412.59 lakhs. Basic EPS stood at ₹6.71 compared to ₹9.34 in the previous year. AGM Resolutions

Norfolk Mercantile Private Limited, the wholly-owned subsidiary, reported a loss of ₹3.40 lakhs. The company holds 18% share in Seabright Landmark Projects LLP and invested ₹150 lakhs during the year. A scheme of merger with Alpa Laboratories Limited is pending before NCLT, Mumbai Bench.

Corporate Governance and Compliance

The Board met 4 times during FY26 with all directors attending all meetings. CSR expenditure significantly exceeded requirements at ₹80.21 lakhs against mandated ₹19.85 lakhs, primarily benefiting Shree Hiraba Charitable Trust for education initiatives. Total assets pledged as security amounted to ₹6,916.26 lakhs, comprising current assets of ₹5,416.35 lakhs and non-current assets of ₹1,499.91 lakhs.

Contingencies and Outlook

Contingent liabilities include disputed sales tax dues of ₹57.57 lakhs, disputed income tax dues of ₹599.41 lakhs, and guarantees to banks/FIs of ₹710.49 lakhs. The board approved exploring incorporation of overseas company "Alpa Biopharm Limited" in Nigeria in association with Blueseal Pharmaceuticals Limited, subject to statutory approvals.
