The Board approved disposal of identified businesses to Akkodis Group through agreements dated May 26, 2026 and June 12, 2026, approved by shareholders on July 27, 2026.

Transaction Structure

1. Heavy Engineering, Automotive and Energy Business: Slump sale for fixed consideration of USD 23.23 million (including deferred consideration of USD 5.81 million receivable after 12 months) plus contingent consideration

2. Aerospace Business: Business transfer and share sale for aggregate fixed consideration of USD 152.35 million (including USD 74.65 million in equity instruments of new entity) plus contingent consideration

Total Consideration

Maximum potential consideration: USD 175.58 million (approximately ₹1,475 crore)
