Profile of Vinay Jain: Chartered Accountant and commerce graduate with over two decades of experience across DBS Bank, Citibank, and ICICI Bank. Joined Bandhan Bank in March 2025 as Head - Finance & Accounts.
2. Extension of CIV Term: Mr. Prakash E's term as Chief of Internal Vigilance (CIV) extended on interim basis up to September 30, 2026, or until new CIV joins, whichever is earlier.
Profile of Prakash E: Overall experience of 25 years, joined Bank on November 21, 2022. Previous experience at ICICI Bank, Samsung, and Chemplast Sanmar.
Annual General Meeting

1. Employee Stock Options: During the quarter, allotted 1,05,686 Equity Shares of ₹10 each aggregating to ₹150.52 lakhs. Share capital increased by ₹10.57 lakhs and share premium by ₹139.95 lakhs. ₹60.48 lakhs transferred from Employee stock options outstanding to securities premium.
2. Labour Code Impact: Additional gratuity liability of ₹6,082.72 lakhs recognized for Q1 FY27 and ₹12,039.04 lakhs for FY26 included under Employee Cost due to implementation of Labour Codes.
3. RBI Directions Impact: Transferred ₹21,567.42 lakhs from Investment Fluctuation Reserve (IFR) to Profit and Loss Account during the quarter.
4. Loan Acquisitions: Acquired loans not in default through assignment worth ₹1,87,079.09 lakhs with weighted average residual maturity of 1.62 years.
5. NPA Transfers: Transferred stressed loans with aggregate principal outstanding of ₹29,143.83 lakhs to ARCs, resulting in excess provisions reversal of ₹535.98 lakhs to Profit and Loss Account.
