Board Meeting Outcomes
The Board of Directors of BWL Limited held a meeting on 04 August 2026 from 12:30 PM to 2:15 PM. The following decisions were made:
- Approved the draft audited quarterly financial statements for the quarter ended June 2026 based on Audit Committee recommendation
- Approved the revised Board Report for the year 2025-26
- Recommended resolution for borrowing from related/non-related parties for shareholder approval
- Approved calling of AGM in online mode on NSDL platform in consultation with RTA on 17 September 2026 at 11:30 AM
- Approved other recommendations of the Audit Committee
- Approved Budget for the financial year 2026-27
- Discussed withdrawal of suspension of listing of company's shares
Financial Results for Quarter Ended 30 June 2026
The unaudited financial results show:
- Revenue from operations: ₹4.16 lakh (compared to ₹6.33 lakh in Q1 FY26)
- Total income: ₹4.16 lakh (compared to ₹6.33 lakh in Q1 FY26)
- Total expenses: ₹8.02 lakh (compared to ₹8.18 lakh in Q1 FY26)
- Finance costs: ₹0.32 lakh (compared to ₹0.02 lakh in Q1 FY26)
- Depreciation and amortization: ₹1.67 lakh (compared to ₹0.80 lakh in Q1 FY26)
- Other expenses: ₹16.23 lakh (compared to ₹1.08 lakh in Q1 FY26)
- Total comprehensive income/(loss) for the period: ₹(22.08) lakh net loss (compared to ₹(9.52) lakh net loss in Q1 FY26)
- Basic and diluted EPS: ₹(0.32) (compared to ₹(0.14) in Q1 FY26)
Operational Update
The disclosure notes that manufacturing operations remain suspended due to working capital constraints. The management is exploring possibilities to restart the unit with a new product line.
Dematerialization Issues
The Board was apprised of significant dematerialization problems:
- Promoter physical shares were deposited on 16 May 2026
- NSDL rejected shares for dematerialization on the plea that DN range for demat cannot be confirmed with temporary ISIN
- KTA, M/s Maheshwari Datamatics Pvt. Ltd, wrote to NSDL on 18 June 2026 asking for confirmation of DN data
- Follow-up was done through telephone with several officers of NSDL and BSE
- Matter was reminded again on 24 June 2026 through letter from RTA to NSDL
- It was understood that BSE needs to intimate the "original listing date" and "trading approval date" to NSDL
- On 17 July 2026, RTA informed that investors are complaining to SEBI SCORE portal that shares are not getting dematerialized
- The Board expressed concern about this issue

- Other expenses include ₹12.10 lakh towards BSE compliance & Listing Fees
- The figures for the previous year/quarter have been regrouped and rearranged wherever necessary
- The financial results were reviewed by the Audit Committee and approved by the Board of Directors
- Statutory Auditors conducted Limited Review for quarter ended 30 June 2026 as required under Regulation 33 of SEBI LODR
