Legal and Contingent Matters
- CJSC CHL International, a subsidiary, had a term loan of USD 32.50 million from EXIM Bank for constructing a five-star hotel in Dushanbe, Tajikistan. CHL Limited and Late Dr. L K Malhotra provided corporate and personal guarantees.
- EXIM Bank filed an application before NCLT, Delhi against CHL Limited, which was dismissed and upheld by NCLAT. EXIM Bank challenged this in the Supreme Court (Civil Appeal No. 1671 of 2019), pending adjudication.
- EXIM Bank also filed an original application before Debt Recovery Tribunal-III, New Delhi, claiming USD 44,611,207 with interest, pending adjudication (next hearing on 18th August 2026).
- A One Time Settlement (OTS) was executed between EXIM Bank, the principal borrower, and guarantors, crystallizing the liability at USD 34 million (letter dated 29th May 2026). The OTS is under execution as of 30th June 2026.
Subsidiary Performance (CJSC CHL International)
- Recognized foreign exchange gains of ₹11.40 crore due to appreciation of Tajikistani Somoni against USD, reducing foreign currency liabilities. This gain is classified as non-operating income with no cash flow impact.
- Recognized foreign currency fluctuation of ₹35.92 crore during Q1 FY27 under OCI-Foreign Currency Translation Reserves, as per Ind AS-21.
- Total assets of the subsidiary as of 30th June 2026: ₹856.82 crores (including revalued building of ₹525.28 crores).
- Total revenue for Q1 FY27: ₹25.19 crores (including non-operative income of ₹11.41 crores).
- Total comprehensive income for Q1 FY27: ₹43.12 crores (including foreign currency translation gain of ₹35.93 crores).
Auditor's Emphasis
- D G A & Co., Chartered Accountants, issued limited review reports for both standalone and consolidated results.
- Emphasis on Note No. 5 regarding the EXIM Bank loan guarantee litigation, pending in Supreme Court and DRT. The OTS liability is crystallized at USD 34 million, and settlement is under implementation.
