EBITDA surged 109.2% to ₹62.06 crore with margin expansion of 565 basis points to 29.48%. Operational & Strategic Developments

The company achieved a record order book of ₹696.99 crore (approximately 3.3x FY26 revenue), driven by major orders including:

  • ₹185.09 crore for on-board Kavach 4.0 equipment
  • ₹139.32 crore for locomotive wireless control systems
  • ₹56.58 crore for wireless control and monitoring systems
  • ₹47.00 crore for green hydrogen fuel cell locomotive equipment

Strategic acquisitions strengthened capabilities across four technology pillars: railway safety (Kavach through Progota India), propulsion systems (Advanced Rail Controls), flexible PCB manufacturing (Fusion Electronics), and diagnostic systems (Concord Lab to Market). The amalgamation of Advanced Rail Controls Private Limited effective April 1, 2025, significantly expanded the company's asset base and operations.

Capital Structure & Corporate Actions

Share capital increased to ₹1,038.34 lakhs (10,383,404 equity shares) through:

  • Preferential issues totaling ₹53.78 crore (287,843 shares)
  • Bonus issue of 3,795,089 shares (₹379.51 lakhs) on September 30, 2025
  • Non-cash allotments for acquisition considerations

Regulatory Compliance & Governance

The company submitted a revised annual report to BSE correcting typographical errors without changing financial statements or material information. Auditor Seth & Associates issued an unmodified opinion confirming the financial statements give a true and fair view. The 16th AGM is scheduled for September 30, 2026, to seek approvals for related party loans up to ₹250 crore and borrowing limits of ₹250 crore.

Outlook & Risk Factors

With Indian Railways modernization representing a ₹45,000 crore opportunity for Kavach deployment, Concord is well-positioned across multiple growth engines including safety systems, propulsion technologies, and AI diagnostics. Key risks include project execution challenges with the enlarged order book, working capital requirements, and dependence on railway tender cycles. The integration of Fusion Electronics is expected to contribute ~₹200 crore annual revenue capacity at full utilization.
