Auditor's Emphasis of Matters
The statutory auditors highlighted several material uncertainties in their review report:
1. Electricity Tax Demand: A demand of ₹5,491.45 lakhs from Tamil Nadu authorities for captive power generated during 2003-2020. The Company is challenging this in the Supreme Court and Madras High Court.
2. Customs Duty Demand: A demand of ₹1,243.77 lakhs plus interest, and redemption fine and penalty of ₹2,600 lakhs related to coal imports in earlier years. The Company is contesting this before CESTAT.
3. Land Lease Dispute: A repossession notice and demand of lease rent for land at Sahupuram works. The Madras High Court has set aside the State Government's order and remanded it for fresh consideration. The Company continues to treat the land as "freehold" and doesn't expect material outflow.
4. Income Tax Matters: Demand of ₹106.08 lakhs and reduction of MAT credit by ₹2,893.15 lakhs for assessment years 2015-16 to 2024-25 following a search in November 2023. The Company has filed appeals against these orders.
No provisions have been made for these demands as management believes they have a fair chance of success in appeals.
Tax Regime Transition
The Company has opted for the new concessional tax regime effective April 1, 2026 (Tax Year 2026-27), with a tax rate of 25.17% including surcharge and education cess. This transition resulted in a net gain of ₹3,427.92 lakhs from re-measurement of deferred tax assets and liabilities.
Investment in Associate
The Company holds 28.96% in Kaze Renewables Private Limited (KRPL) as of June 30, 2026. Since the Company does not exercise significant influence or control, KRPL is not considered an associate under Ind AS 28, and consolidated financial results are not required.
