Material Events and Notes

1. Merger with Whitehills Interior Limited: Pursuant to the order of the National Company Law Tribunal (NCLT), Mumbai Bench dated November 12, 2025, Whitehills Interior Limited merged with EFC (I) Limited with effect from November 28, 2025. Comparative figures have been restated accordingly.

2. Auditor's Qualified Opinion: The auditors issued a qualified conclusion on both standalone and consolidated results for two primary reasons:

  • Unbilled Revenue: Standalone other current assets include unbilled revenue of ₹7,638 lakhs (₹76.38 crore) recognized under Ind AS 115 (input method) for work performed but not yet billed. Customer confirmations were awaited at the review date.
  • Subsidiary Trade Receivables: Trade receivables in Ek Design Industries Limited include ₹18.95 crore outstanding for more than six months (₹8.31 crore for over one year). Management is following up for recovery, but expected credit loss assessment was not finalized.

3. Subsidiary Changes: Sanvritti Alpha Private Limited (formerly EFC Estate 56 Alpha Private Limited) ceased to be a subsidiary effective September 4, 2026, after the sale of its entire 100% shareholding.

4. Review of Subsidiaries: The consolidated results include 22 subsidiaries. The auditors did not review the interim financial results of subsidiaries from Sr. No. 2 to 23 (listed in Annexure I), whose combined assets are ₹2,85,676.48 lakhs and revenues are ₹16,721.77 lakhs for Q2 and ₹28,524.14 lakhs for H1. These were reviewed by other auditors.

Capital Structure Impact

  • The paid-up equity share capital increased from ₹2,745.67 lakhs (Mar 31, 2026) to ₹2,958.92 lakhs (Sept 30, 2026), indicating the issuance of new shares.
