Key Notes and Disclosures
1. The financial results were reviewed by the Audit and Risk Management Committee and approved by the Board on November 03, 2026. The Statutory Auditors (BSR & Co. LLP) issued an unmodified limited review report.
2. The consolidated financial results include the Company and its subsidiary, Fortis Healthcare Research Foundation (formerly known as Malar Stars Medicare Limited).
3. Critical Going Concern Disclosure (Note 7): The Company ceased to have any business operations following the slump sale of its business to MGM Healthcare Private Limited during FY24. There is no visibility of commencing new operations. Management is evaluating various corporate restructuring options. The Company believes it has sufficient cash and cash equivalents (~₹3,426.39 lakh) to settle its obligations and meet financial requirements for the foreseeable future based on current cash position and projected cash flows. Accordingly, the financial results are prepared on a going concern basis.
4. Contingent Liabilities Disclosed: The Company is contesting several legal cases:
- Medico legal cases: Claim amount ~₹649.40 lakh (assessed as remote)
- VAT appeals: Tax demand ~₹254.93 lakh (assessed as remote)
- GST appeal: Tax demand ~₹22.23 lakh (assessed as remote)
- Income tax appeal: Tax demand ~₹198.83 lakh (assessed as remote)
5. Note on Prior Period Adjustment: A provision of ₹408.20 lakh towards minimum wages payable was reversed in Q1 FY25 (quarter ended June 30, 2025) pursuant to a Government of Tamil Nadu notification dated June 11, 2025, and was recorded as other income.
