Labour Code Implementation Impact:
The Government of India notified four labour codes on November 21, 2025. Based on requirements of new Labour Codes and relevant Accounting Standards, the company estimated liability for employee benefits resulting in incremental expense of ₹149.40 lakh for quarter ended March 31, 2026 and ₹178.99 lakh for year ended March 31, 2026, reported as exceptional items for recognition of past service cost for gratuity and leave encashment liability.
Subsidiary Closures:
1. Prime Ophthalmics Products PTY Ltd (step-down subsidiary): Closure formalities completed on July 02, 2026 due to challenges in generating sufficient revenue and business opportunities. Investment of ₹43.50 lakh written off during quarter ended June 30, 2026. Not a material subsidiary.
2. GSV Ophthalmics Private Limited (material subsidiary): Board proposed voluntary winding up as it was not carrying any business since inception. Approved by holding company's board on September 22, 2025 and shareholders on November 01, 2025. Total investment of ₹11.70 Crores received by holding company as of March 31, 2026, with additional ₹69.72 lakh received as residual equity share deemed dividend.
