Legal and Regulatory Matters

Trademark Ownership

Note 6 describes a legal matter regarding ownership of the "Gloster" trademark (carrying value ₹1,090.88 lakhs as at June 30, 2026). The Supreme Court order dated January 22, 2026 held that NCLT/NCLAT lack jurisdiction, allowing parties to litigate in other courts. The Supreme Court did not disturb the position that the trademark is owned by Fort Gloster Industries Limited. No adjustments to financial results have been made pending legal recourse.

Amalgamation Scheme

The Scheme of amalgamation of Gloster Lifestyle Limited and Gloster Specialities Limited (both wholly owned subsidiaries) with Gloster Limited was filed with NCLT, Kolkata on February 14, 2026. The matter was heard on February 14, 2026, and NCLT has reserved it for order. No effect of the Scheme has been given in these financial results pending approval.
