Key Decisions and Approvals
1. Approval of Financial Results
The Board of Directors, upon recommendation of the Audit Committee, approved the Unaudited Financial Results (Standalone & Consolidated) as per Indian Accounting Standards (IND AS) for the quarter ended June 30, 2026.
The Board also took note of the Limited Review Report of the Statutory Auditors (Kalyaniwalla & Mistry LLP) on the Unaudited Financial Results for the quarter ended June 30, 2026. The Limited Review Report contained an unmodified conclusion with respect to both standalone and consolidated financial results.
2. Management Re-designation and Appointment
The Board approved the re-designation and appointment of Pirojsha Godrej (DIN: 00432983) as Whole-Time Director designated as 'Executive Chairperson' with effect from August 14, 2026, to August 13, 2031, subject to shareholder approval.
Pirojsha Godrej is a member of the Promoter Group and was previously appointed as Chairperson-Designate on April 13, 2026. He succeeds Nadir Godrej who retired as Chairman and Managing Director as part of a planned generational transition.
3. Updated Key Managerial Personnel for Regulatory Disclosures
The Board approved updated details of Key Managerial Personnel authorized to determine materiality of events and make disclosures to stock exchanges effective August 14, 2026:
- Vishal Sharma, Executive Director and Chief Executive Officer (Chemicals)
- Clement Pinto, Chief Financial Officer
- Anupama Kamble, Company Secretary and Compliance Officer
4. Postal Ballot Approval
The Board approved the issuance of a Postal Ballot Notice dated August 13, 2026, to seek shareholder approval for Pirojsha Godrej's appointment. The cut-off date for determining shareholder eligibility was fixed as Friday, August 14, 2026.

Significant Corporate Developments
Employee Stock Grants
During the quarter ended June 30, 2026, the Company granted 35,998 stock grants to eligible employees under the Employee Stock Grant Scheme. Upon vesting, equivalent number of equity shares of nominal value of ₹1 each shall be issued.
Labour Code Implementation Impact
The Government of India notified four Labour Codes on November 21, 2025. The Company/Group accounted an additional gratuity and leave benefits liability of ₹65.81 crore (consolidated) and ₹8.21 crore (standalone) for the year ended March 31, 2026, as an Exceptional item.

- Godrej Agrovet Limited acquired 36.79% equity stake in Creamline Dairy Products Limited during Q1 FY25 for ₹708.58 crore
- Further acquired 0.46% equity stake in Q2 FY25 for ₹8.93 crore, increasing stake to 99.78%
- As of June 30, 2026, process ongoing to acquire balance 0.22% equity stake
Astec LifeSciences Rights Issue
Astec LifeSciences Limited (subsidiary of Godrej Agrovet) completed Rights Issue of 28,01,673 equity shares for aggregate amount not exceeding ₹249.35 crore at issue price of ₹890 per share. Godrej Agrovet participated, increasing shareholding to 67.03% as at June 30, 2026.
