Managerial Remuneration Disclosure

The statutory auditors highlighted that managerial remuneration paid/payable to the Executive Chairperson for FY26 exceeded limits under Section 197 of Companies Act, 2013 by ₹21.76 crore. This includes an additional provision of ₹0.19 crore recognized during Q1 FY27. Additionally, commission of ₹2.00 crore was paid/payable to non-executive directors for FY26. The excess remuneration requires shareholder approval, which the company proposes to seek at the forthcoming Annual General Meeting.

Corporate Development - NCLT Merger Order

The National Company Law Tribunal (NCLT) pronounced an order on July 8, 2026, approving the merger of Embellish Houses Private Limited (wholly owned subsidiary) with Godrej Properties Limited with effect from November 1, 2025 (appointed date). The merger will become effective after filing the certified copy of the order, scheme of amalgamation, and compliance documents with the Registrar of Companies. The company has not given effect to the NCLT order in Q1 FY26 results pending completion of formalities.

Employee Stock Grants

During Q1 FY27, the company granted 29,371 new stock to eligible employees, 3,418 stock grants lapsed, and 18,221 equity shares were allotted upon exercise of stock grants under the Employee Stock Grant Scheme.
