BRFL Textiles Investment Update

Pursuant to Investment Agreement dated June 19, 2024:

  • Company subscribed to Optionally Convertible Debentures (OCD) with face value ₹1,000 each at 20.35% coupon rate for consideration of ₹22,500 lakhs in BRFL Textiles Private Limited (BTPL)
  • Extended corporate guarantees of ₹31,500 lakhs to banks on behalf of BTPL
  • Acquired 110,089,019 equity shares and 1,57,89,474 compulsorily convertible preference shares for ₹7,199.06 lakhs, subsequently converted into 9,62,24,645 equity shares
  • As of September 30, 2026, company holds 19% equity interest in BTPL
  • Scheme of amalgamation of BRFL Textiles with company approved by equity shareholders during quarter
  • Company is process of obtaining balance requisite approvals
  • No impact recorded in current financial results relating to amalgamation

Accounting Reclassification

During current quarter and half year, the Group reclassified Job work charges to Other expenses. Corresponding previous year figures have been regrouped to conform to current classification.
