The 22nd Annual General Meeting of Goldline Pharmaceutical Limited was held on Saturday, 29th August 2026.

The meeting was significant as it was the first AGM following the successful listing of the company's equity shares on the BSE SME Platform in May 2026.

Members: Total 15 members, including authorised representatives, attended the meeting at the venue. The requisite quorum was present.

Voting Process

The remote e-voting facility was made available from Tuesday, 25th August 2026 at 9:00 A.M. to Friday, 28th August 2026 at 5:00 P.M. M/s. Avinash Gandhewar & Associates was appointed as the Scrutinizer. Members who had not voted remotely could cast votes via ballot paper during the AGM. The voting results were to be declared within 48 hours of the meeting's conclusion.

Financial Performance for FY 2025-26

Mr. Swapan Khandelwal, Whole-Time Director, presented the financial highlights:

  • Revenue from Operations and Other Income increased to ₹3,119.88 lakhs (₹31.20 crore) in FY 2025-26 from ₹2,805.57 lakhs in FY 2024-25.
  • Profit Before Tax increased to ₹538.54 lakhs from ₹385.84 lakhs.
  • Profit After Tax increased to ₹411.71 lakhs from ₹283.43 lakhs.
  • Earnings Per Share (EPS) improved to ₹5.97 from ₹4.11.

Priorities for FY 2026-27 were outlined, including expansion of the customer base, strengthening market presence, improving operational capabilities, adopting technology, process optimisation, and pursuing sustainable and profitable growth.

Business Outlook

Mr. Prashant Karkare, Executive Director, addressed the competitive pharmaceutical market and the company's focus on strengthening its product portfolio, improving engagement with the medical fraternity, expanding geographical presence, and strengthening sales and marketing capabilities. The company will focus on developing sustainable brands and exploring opportunities in specialty and super-specialty segments.

The following items of business were placed before members for consideration and approval:

Ordinary Business:

1. Adoption of Financial Statements: To receive, consider, and adopt the Standalone Audited Balance Sheet as at 31st March 2026, the Statement of Profit and Loss for the financial year ended on that date, the Cash Flow Statement, together with the Auditors' Report and Directors' Report thereon.

2. Declaration of Dividend: To declare a dividend of ₹12 per preference share of face value ₹100 each for FY 2025-26.

3. Re-appointment of Director: To re-appoint Mr. Prashant Shrikrishna Karkare (DIN: 06572686) as Executive Director.

Special Business:

4. Material Related Party Transactions: To approve existing and proposed new material related party transactions with Activista Healthcare Private Limited.

5. Material Related Party Transactions: To approve existing and proposed new material related party transactions with Nucleage Pharma Solutions Private Limited.

6. Material Related Party Transactions: To approve existing and proposed new material related party transactions with Numerius Healthcare Private Limited.

7. Borrowing of Unsecured Loans from Directors: To approve the borrowing of unsecured loans from Directors, with an option for conversion into equity shares.

8. Loans, Guarantees and Securities: To approve the proposal to advance any loan, give any guarantee, or provide any security in connection with any loan taken by any entity in which any Director is deemed to be interested, or to advance any loan to the Managing Director or Whole-Time Director.
