Gopal Snacks Q1 Net Profit ₹128.47 Crore

The Board considered and approved the following items:

Approved the Unaudited Standalone Financial Results of the Company for the quarter ended June 30, 2026.
The results were reviewed and recommended by the Audit Committee.

Approved the Limited Review Report on the Unaudited Standalone Financial Results for the quarter ended June 30, 2026, issued by the Statutory Auditors, M/s. Maheshwari & Co., Chartered Accountants (Firm Registration No.: 105834W).

Mr. Harsh Sureshkumar Shah (DIN: 06470319): On the recommendation of the Nomination & Remuneration Committee, approved his re-appointment as a Non-Executive Non-Independent Director. He is liable to retire by rotation and has offered himself for re-appointment. This is subject to shareholder approval at the 17th Annual General Meeting (AGM). The re-appointment will be effective from the date of shareholder approval.
Mr. Bipinbhai Vithalbhai Hadvani (DIN: 02858118): On the recommendation of the Nomination & Remuneration Committee, approved his re-appointment as Chairman and Managing Director for a term of 5 years, effective from October 01, 2026, to September 30, 2031. This is subject to shareholder approval at the 17th AGM.

Approved the proposal to convene the 17th Annual General Meeting (AGM) on Friday, September 18, 2026, through Video Conferencing/Other Audio Visual Means, in accordance with applicable circulars from the Ministry of Corporate Affairs and SEBI. The notice of the AGM will be intimated separately.

The financial results were prepared in accordance with Indian Accounting Standards (Ind AS) and SEBI Listing Regulations.
The company operates primarily in the food products segment and is considered a single reportable segment.
Figures for the quarter ended March 31, 2026, are balancing figures between audited annual figures and previously published unaudited quarterly figures.
A fire incident occurred at the Rajkot plant on December 11, 2024, resulting in a loss of ₹471.85 million reported under exceptional items in Q4 FY2025. The company has received ₹374.64 million from the insurance company during FY2026.
Previous period figures have been regrouped and reclassified for consistency.
