Board Meeting Details

The Board Meeting was held on August 04, 2026, commencing at 12:00 PM and concluding at 01:05 PM. The Board considered, adopted and approved the Standalone and Consolidated Unaudited Financial Results for the quarter ended June 30, 2026.

Auditor Review

The financial results were subjected to Limited Review by M/s M. M. Nissim & Co. LLP, Chartered Accountants, who issued an unmodified review report stating that nothing has come to their attention that causes them to believe that the statements contain any material misstatement.

Subsidiary Information

The consolidated results include the following subsidiaries:

  • Grauer & Weil (Shanghai) Limited (Wholly owned Subsidiary)
  • Growels Chemicals Co. Limited (Wholly owned Subsidiary)
  • Grauer and Weil Middle East FZE (Wholly owned Subsidiary)

One subsidiary had interim financial results reviewed by another auditor, showing total revenue of ₹476.01 lakhs and net loss after tax of ₹(117.54) lakhs. Three foreign subsidiaries' results were not reviewed but certified by management, showing total revenues of ₹79.58 lakhs and net loss after tax of ₹(87.04) lakhs.

Contingent Matter

The Mall operation continues to remain temporarily suspended pursuant to the order dated 5th March, 2025 by Maharashtra Pollution Control Board. The Company has filed a special leave petition before the Honorable Supreme Court. Pending adjudication, no provision has been made in the books of accounts relating to this matter and other consequential claims except for full and final claims as agreed. The Company's other business segments continue to function without disruption.
