Contingent Liabilities and Legal Matters
1. DoT License Fee Demand on Parent (GTPL Hathway Ltd.)
The Department of Telecommunications (DoT) has raised a demand of ₹9,754.15 million on the Company. This consists of a Principal amount of ₹2,286.50 million and related interest, penalty, and interest on penalty of ₹7,467.65 million (as of July 31, 2020) towards license fee by including revenue generated from its cable television business.
Status:
- The demands are based on the Hon'ble Supreme Court's Judgment on AGR dues from telecom operators.
- The Supreme Court later clarified (June 11 & 18, 2020) that the AGR judgement could not be the basis for demands on non-telecom PSUs; DoT withdrew demands on non-telecom PSUs.
- The Company has made representations to DoT against the demands.
- All India Digital Cable Federation (AIDCF), of which the Company is a member, filed an intervention petition in TDSAT (TP No. 54 of 2020) challenging these demands.
- The Ministry of Information & Broadcasting wrote to DoT (Feb 2021) stating it grants permission to MSOs for cable TV operations and does not levy a license fee on that revenue, suggesting it should not be clubbed with ISP license revenue.
- With effect from 01/10/2021, the definition of AGR was amended, introducing Applicable Gross Revenue (ApGR), which specifically excludes revenue from activities under a license/permission issued by MIB.
- By an order dated 05.10.2021, the TDSAT has stayed all demands of additional license fee. This interim order is continuing, and the petition is pending.
- In February 2022, TDSAT set aside similar demands raised by DoT on another ISP license holder.
Company's Stance: Based on its legal assessment and opinions from independent legal experts, the Company is confident it has good grounds to defend itself. No provision has been recognized in the financial results for this demand. It is disclosed as a contingent liability. The extent and timing of any potential outflow are dependent on the litigation's outcome.
2. DoT License Fee Demand on Subsidiary (GTPL Broadband Pvt. Ltd.)
A similar issue exists for subsidiary GTPL Broadband Private Limited (GBPL) concerning the levy of license fees on Pure Internet Services (PIS).
Details:
- DoT demands aggregate to ₹3,841.91 million (including interest and penalty for which demands have been received).
- The matter pertains to the inclusion of PIS revenue for AGR calculation under the Unified License.
- The Internet Service Providers Association of India (ISPAI) challenged this before TDSAT (telecom petition no.169 of 2014).
- TDSAT passed an order dated 18.10.2019 (ISPAI Judgement) holding the clause discriminatory and quashing demands on PIS revenue for Unified Licensees.
- DoT has challenged this TDSAT order, and a civil appeal is pending before the Supreme Court.
- On March 31, 2021, DoT amended the definition of AGR for old ISP Licenses to include PIS revenue. This amendment has been stayed by TDSAT for cases filed by old regime license holders.
- DoT has issued demand-cum-show cause notices for FY 2016-17 to FY 2024-25.
Company's Stance: GBPL is confident it has good grounds to defend itself based on the legal position. No provision has been recognized. An estimated ₹3,841.91 million is considered a contingent liability.
3. DoT License Fee Demand on Step-down Subsidiary (GTPL KCBPL Broadband Pvt. Ltd.)
A similar matter exists for GTPL KCBPL Broadband Private Limited, a step-down subsidiary, concerning levy of license fee on pure internet services.
Details:
- The liability for payment of license fee as of September 30, 2026, is estimated at ₹373.20 million (8% of ₹4,052.33 million AGR including interest/penalty on received demands).
- As of March 31, 2026, it was ₹335.14 million.
- The TDSAT judgement of October 16, 2019, and the stayed DoT amendment of March 31, 2021, are relevant.
- The litigation is pending with the Supreme Court and TDSAT.
Company's Stance: The subsidiary is confident and has good grounds to defend itself. No provision has been recognized. The amount is considered contingent. However, KCBPL Broadband has paid ₹140.42 lakhs towards DoT fees under protest.
