Amalgamation Details
The National Company Law Tribunal, Ahmedabad Bench approved the Scheme of Amalgamation of Kinam Enterprise Private Limited with HLE Glascoat Limited vide order dated August 14, 2025, effective from August 7, 2023.
Pursuant to the Scheme:
- All assets, liabilities, income, and expenses of Kinam Enterprise Private Limited vested in HLE Glascoat Limited
- The amalgamation was accounted under Ind AS 103 using pooling of interests method
- The company issued and allotted 11,89,259 equity shares of ₹2 each to shareholders of the transferor company
- Comparative figures for June 2025 have been restated for comparability
