Financial Performance for Q1 FY27 (Consolidated)

Revenue:

  • Consolidated operational revenue was ₹631 crore, virtually flat on both a quarter-on-quarter (QoQ) and year-on-year (YoY) basis.

Revenue Breakdown (QoQ - Q1 FY27 vs. Q4 FY26):

  • Institutional and investment banking revenue was ₹207 crore, up 27% from ₹163 crore in Q4 FY26.
  • Financial product distribution income was ₹125 crore, down 31% from ₹182 crore in Q4 FY26. The decline was attributed to the seasonal peak of insurance income in Q4 and lower lumpy transactional income.

Revenue Breakdown (YoY - Q1 FY27 vs. Q1 FY26):

  • Retail broking revenue was ₹297 crore, up 13% from ₹264 crore.
  • Institutional broking and investment banking income was flat at ₹207 crore (vs. ₹204 crore).
  • Distribution income was down 14% YoY.

Expenses:

  • Employee cost was nearly flat at ₹179 crore (vs. ₹183 crore QoQ).
  • Finance cost decreased 5% QoQ to ₹60 crore. YoY, finance cost increased to ₹60 crore from ₹40 crore due to an increase in the Margin Trading Facility (MTF) book.
  • Depreciation was flat at ₹17 crore.
  • Fees and commission expenses decreased 8% QoQ to ₹139 crore, linked to lower variable payouts from the seasonal insurance business.
  • Administrative income was flat.

Profitability:

  • Operational Profit Before Tax (PBT) was ₹149 crore, up 4% QoQ but down approximately 9% YoY.
  • Other income was significantly higher by ₹90 crore, primarily due to mark-to-market (MTM) gains on the company's investment in BSE shares.

Operational Metrics

  • Average Daily Turnover (ADT) for the quarter was ₹3,15,780 crore.
  • Futures & Options (F&O) turnover: ₹3,12,480 crore

  • This represents a 2% decline from Q4 FY26's ADT of ₹3,22,886 crore.

Strategic Update: Fairfax Investment

  • Fairfax India Holdings Corporation, through FIH Mauritius and its affiliate, proposed to increase its shareholding in IIFL Capital to at least 51%.
  • The transaction involves a preferential issuance of equity worth approximately ₹2,000 crore at ₹350 per share and a mandatory open offer.
  • Shareholders approved the preferential issue at an Extraordinary General Meeting (EGM) held on June 1, 2026.
  • The transaction is pending regulatory approvals from SEBI, NSE, BSE, and IRDAI. Management expects approvals in the next 2-3 months.
  • Upon completion, Fairfax will become a promoter alongside existing promoters Nirmal Jain and R. Venkataraman and will have the right to nominate two directors to the board.
  • The stated rationale is to strengthen the company's capital base, support growth across its businesses (capital markets, wealth management, asset management, institutional equity), and enhance credibility through Fairfax's global brand.
  • The funds (₹2,000 crore) have not been received as of the call date (July 24, 2026).

Regulatory and Legal Matter

  • The Income Tax Department conducted a search under Section 132 of the Income Tax Act in January 2025.
  • The holding company and its subsidiaries have received a cumulative tax demand of ₹124 crore.
  • The respective companies have filed appeals against these orders with the relevant authorities.

Business Segment Highlights

  • The Asset Management business, including AIF and PMS, had an Assets Under Management (AUM) of approximately ₹4,400 crore. Income from this business is recorded under Financial Product Distribution.
  • Management stated its intent to grow this "manufacturing" (product creation) business, which includes a credit fund and a late-stage fund, without losing its open architecture character.
  • Net collections in the financial product distribution segment were approximately ₹3,675 crore for the quarter.
  • The company added a single-digit number of Relationship Managers (RMs) during the quarter.

Management Commentary on Market Environment

  • Management cited an uncertain global environment influenced by geopolitical developments and commodity price volatility, specifically noting crude oil touching $100 per barrel.
  • Regarding new SEBI regulations on margin requirements effective July 1, 2026, management stated a marginal impact was seen so far, as the company is not a prop trader and did not have a large number of affected clients. They deemed it too early to comment on the long-term impact and did not expect a significant effect on volumes in Q2 FY27.
