Acquisition Details

On April 21, 2026, the Company together with its step-down subsidiaries ANK Hotels Private Limited and Pride Hospitality Private Limited completed the acquisition of a 51% equity stake (on a fully diluted basis) in Brij Hospitality Private Limited for an aggregate consideration of ₹221.82 crore (including contingent consideration of ₹28.62 crore). The acquisition comprised approximately ₹126.82 crore by the Company, ₹34.01 crore by ANK, and ₹60.99 crore by Pride.

The acquisition involved purchase of shares from existing shareholders along with primary investment through Compulsorily Convertible Preference Shares (CCPS) and partly paid-up equity shares. Brij has become a subsidiary of the Company. Provisional goodwill of ₹92.76 crore has been recognized representing the excess of consideration over provisional fair value of identifiable net assets acquired.
