Board Resolutions and Corporate Actions
The Board considered and approved the following matters:
1. Financial Results: Approved unaudited quarterly financial results for quarter ended June 30, 2026 and took on record the Limited Review Report by the auditors.
2. Registered Office Address Correction: Approved correction of clerical/typographical errors in the registered office address from "111- SECTOR-B, SANWAR ROAD, INDUSTRIAL AREA, INDORE, Madhya Pradesh, India, 000000" to "111- Sector-B, Sanwer Road, Industrial Area, Indore, Madhya Pradesh, India, 452015" without any change in actual location.
3. Cost Auditor Reappointment: Approved and recommended reappointment of Cost Auditor for financial year 2026-2027.
4. Remuneration Enhancements: Approved enhancement of remuneration ceiling for four individuals holding office or place of profit in the company, subject to member approval:

- Mr. Manish Jain
- Mr. Shekhar Jain
5. Related Party Transactions: Approved and recommended material related party transactions under Section 188 of Companies Act, 2013 and SEBI LODR Regulations, 2015, subject to member approval at the ensuing AGM.
6. Board Reports: Approved Board's Report along with all annexures including Management Discussion and Analysis Report, Secretarial Audit Report, Corporate Governance Report and CSR Report for FY 2025-26.
7. Annual General Meeting: Scheduled the 38th Annual General Meeting for Tuesday, September 22, 2026 at 11:00 AM at the Registered Office.
8. Record Date: Approved record date of Tuesday, September 15, 2026 for determining entitlement of members to receive dividend for FY 2025-26 and eligibility to participate in e-voting.
9. Scrutinizer Appointment: Appointed I G & Associates, Practicing Company Secretaries (F.R. No.: I2013Mp1054000), Indore as Scrutinizer for e-voting and the AGM.
10. Memorandum and Articles of Association: Approved adoption of new set of Memorandum of Association and Articles of Association in line with Table A and Table F contained in Schedule I to Companies Act, 2013, subject to member approval.
Subsidiary Update
The Board noted that M.M. Metals Private Limited ceased to be a subsidiary of the Company with effect from March 20, 2026, following the disposal of the Company's entire holding of 30,480 equity shares (representing 52.55% of issued capital) approved by the Board on March 17, 2026. Consequently, consolidated results for the quarter have not been prepared.
Auditor's Limited Review Report
Mahendra Badjatya & Co., Chartered Accountants (ICAI FRN 001457C) conducted a limited review of the unaudited financial results and concluded that nothing has come to their attention that causes them to believe that the statement contains any material misstatement. The review was conducted in accordance with SRE 2410 issued by ICAI.
