The 88th Annual General Meeting was held on Tuesday, September 22, 2026, at 11:00 AM IST at Sher-i-Kashmir International Conference Centre, Srinagar, J&K - 190001. The meeting was chaired by Mr. Sankarasubramanian Krishnan, Chairman of the Board.

Attendees

The meeting was attended by the Chairmen of Audit Committee, Nomination and Remuneration Committee, and Stakeholders Relationship Committee. Other attendees included Mr. Ketan Kumar Joshi (Chief Financial Officer), Mr. Mohammad Shafi Mir (Company Secretary), top executives of the Bank, representatives of Statutory Central Auditors, and Secretarial Auditor.

Financial and Business Highlights Presented

The Chairman highlighted the Bank's record annual profit of ₹2,363.47 crore, total business of ₹2,90,341 crore as of March 31, 2026, capital adequacy of 16.55%, and achievement of crossing ₹3 trillion business milestone in Q1 FY27.

MD & CEO Amitava Chatterjee reported 13.5% YoY growth in net profit to ₹2,363 crore, 13.6% growth in total business to ₹2.90 lakh crore, with deposits increasing 11.30% to ₹1.65 lakh crore and gross advances growing 16.8% to ₹1.25 lakh crore. Asset quality improved with Gross NPA reducing from 3.37% to 2.50% and Net NPA from 0.79% to 0.64%. Operating expenditure declined by approximately 4%, Cost-to-Income ratio moderated to 56.18%, Return on Assets was 1.37%, Return on Equity was 16.85%, and Capital Adequacy Ratio stood at 16.55% with CET-1 at 13.54%. Digital transactions reached 94% of total transactions during FY 2025-26.

Resolutions Transacted

Ordinary Business:

  • Item 1: To receive, consider and adopt the Audited Financial Statements (standalone and consolidated) for FY ended March 31, 2026, including Balance Sheet, Profit & Loss Account, Reports of Board of Directors and Auditors, and comments of Comptroller and Auditor General of India
  • Item 2: To authorize the Board to fix remuneration of Auditors appointed by C&AG for FY 2026-2027 under Section 142 of Companies Act, 2013
  • Item 4: To take on record retirement by rotation of Mr. R K Chhibber and not to fill the casual vacancy

Special Business:

  • Item 3: To raise Funds (Tier I) subject to maximum of ₹1000 Crores
  • Item 5: To appoint Mr. Tsewang Tharchin, IA&AS (DIN: 11907418) as a Rotational Director

Voting Process and Procedures

Shareholders present at the meeting were provided five minutes to complete their ballot paper and write queries on paper slips. The company informed members that voting results along with the Scrutinizer's Report would be placed on the Bank's website and communicated to Stock Exchanges and M/s Bigshare Services Private Limited within two working days from the conclusion of the meeting.
