Auditor Review
V Sahai Tripathi & Co., Chartered Accountants (Firm Registration No: 000262N) issued limited review reports for both standalone and consolidated financial results. The review was conducted in accordance with SRE 2410 issued by ICAI.
For consolidated results, seven subsidiaries with total revenues of Rs. 4,99,015.98 lakhs, net profit after tax of Rs. 75,568.49 lakhs, and total comprehensive income of Rs. 87,421.02 lakhs were reviewed by other auditors.
Four subsidiaries with total revenue of Rs. 5,151 lakhs, net profit after tax of Rs. 331 lakhs, and total comprehensive income of Rs. 331 lakhs were not reviewed as they were not material to the Group.
Exceptional Items
New Labour Codes Impact: Effective November 21, 2025, the Government of India consolidated multiple labour legislations into four labour codes. Under Ind AS 19, this constitutes a plan amendment requiring recognition of past service cost.
- Standalone: Rs. 4.23 lakhs for quarter ended March 31, 2026 and Rs. 17.36 lakhs for year ended March 31, 2026
- Consolidated: Rs. 1,184.73 lakhs for quarter ended March 31, 2026 and Rs. 8,682.74 lakhs for year ended March 31, 2026
The Group continues to monitor finalisation of State Rules and government clarifications on other aspects of the New Labour Codes.
Tax Matter
During FY26, SRF Limited (subsidiary) received a favourable order from Income Tax Appellate Tribunal (ITAT) for assessment years 2011-12 and 2013-14 regarding taxability of income related to Carbon Emission Reduction Certificates (CERs). Based on this order, SRF Ltd. wrote back tax provisions amounting to Rs. 9,912 lakhs for these assessment years. The matter of taxability of CERs is yet to attain finality, and SRF Ltd. will continue to re-assess its uncertain tax positions.
Commercial Papers
Listed commercial papers of SRF Limited (Subsidiary) aggregating to Rs. 20,000 lakhs were outstanding as on June 30, 2026. The commercial paper programme is rated CRISIL A1+ by CRISIL and IND A1+ by India Ratings. During the quarter, SRF Limited repaid all commercial papers due on their respective due dates.
