Key Outcomes
I. Approval of Financial Results
Based on the recommendation of the Audit Committee, the Board of Directors approved the Audited Financial Results (AFR) of the Company for the fourth quarter and year ended June 30, 2026. The Independent Auditors Report was issued by the Statutory Auditors, Messrs. Price Waterhouse & Co. Chartered Accountants LLP, with an unmodified opinion and no qualifications or adverse remarks. The financial results are available on the Company's website.
II. Re-appointment of Cost Auditors
Based on the Audit Committee's recommendation, the Board re-appointed M/s. K.S. Kamalakara & Co., Cost Accountants, Bengaluru (Firm Registration No. 0000296) as the Cost Auditors for the financial year 2026-27. The firm is a partnership with over 15 years of expertise in cost accounting systems, cost analysis, advisory services for cost management, and also provides services in GST, Customs, direct taxes, and financial management.
III. Appointment of Senior Management Personnel
Based on the recommendation of the Nomination and Remuneration Committee, the Board appointed and designated Mr. Vigneshkumar V, Deputy General Manager – Environment, Health and Safety, as a Senior Management Personnel (SMP) effective August 13, 2026.
Mr. Vigneshkumar V is a postgraduate in Environmental Science with approximately 22 years of experience in Environment, Health, Safety & Sustainability leadership. He previously worked with AstraZeneca Pharma India Limited. In his new role, he will be responsible for leading and driving the Company's EHS strategy, culture, and compliance for its manufacturing facility, and will develop and implement systems and standards across the business.
IV. Annual General Meeting
The Board approved the notice calling the 61st Annual General Meeting of the Company, which will be held on Friday, November 13, 2026.
