1. Financial Results Approval
The Board approved the audited Standalone & Consolidated financial results for the quarter ended June 30, 2026, pursuant to Regulation 33 of SEBI LODR Regulations:
Standalone Financial Results (₹ in Lakhs):
- Revenue from operations: ₹70,712.40
- Other Income: ₹1,545.64
- Total Income: ₹72,258.04
- Profit before tax: ₹8,682.13
- Net Profit for the period: ₹6,585.55
- Basic & Diluted EPS: ₹20.65 (not annualized)
Consolidated Financial Results (₹ in Lakhs):
- Revenue from operations: ₹79,876.37
- Other Income: ₹1,662.91
- Total Income: ₹81,539.28
- Profit before tax: ₹8,879.71
- Net Profit for the period: ₹6,701.40
- Basic & Diluted EPS: ₹21.01 (not annualized)
The Statutory Auditors (Suri & Co.) expressed an unmodified opinion on both standalone and consolidated financial results. The results will be published in English and Tamil newspapers with QR code as per Regulation 47.
2. Joint Venture Agreement with Singatac Engineering Pte Ltd
The Board approved entering into a Joint Venture Agreement with Singatac Engineering Pte Ltd, Singapore to incorporate SLGB Energy Solutions Private Limited:
- Company will hold 51% paid-up share capital, Singatac will hold 49%
- Initial paid-up capital: ₹1,00,000 (divided into 1000 equity shares of ₹100 each)
- Business scope: Precision manufacturing, machining, assembly, testing and quality assurance of subsea components, modules, connectors, tools, and related equipment for global subsea OEMs and EPC contractors
- LGB will nominate 2 directors, Singatac will nominate 2 directors
- Transaction is at arm's length basis
- Subject to receipt of requisite consents and approvals under applicable laws
3. Incorporation of Wholly Owned Subsidiary in Vietnam
The Board approved incorporation of a wholly owned subsidiary in Vietnam:
- Tentative name: LGB Private Limited Vietnam
- Business: Manufacturing and assembly of Auto Components and parts
- Investment not exceeding ₹10 crores
- Company will hold 100% paid-up share capital
- Subject to requisite approvals under Indian and Vietnamese laws
4. Joint Development Agreement with Brigade Enterprises Limited
The Board approved Memorandum of Agreement with Brigade Enterprises Limited for developing company's land property in Mysore, Karnataka:
- Project: Residential Apartment Project under Joint Development arrangement on Revenue Sharing Model
- Estimated total cost: ₹120 crores
- Revenue sharing: Company (Owner) - 29%, Brigade (Developer) - 71% of constructed area
- Developer will bear entire cost of approval, construction, development and maintenance
- Company has no shareholding in Brigade Enterprises Limited
- Transaction does not fall under related party transactions
