1. Financial Results Approval
The Board approved the Un-audited Standalone and Consolidated Financial Results for the quarter ended June 30, 2026, as recommended by the Audit Committee.
The financial results were reviewed by Price Waterhouse Chartered Accountants LLP, Statutory Auditors, and their limited review reports are enclosed. The results are being uploaded on the company's website and will be published in newspapers as per Regulation 47(1) of Listing Regulations.

2. Corporate Guarantee Approval
The Board approved issuance of Corporate Guarantee/Letter of Comfort/Post Dated Cheques (PDCs) to secure loans provided/to be provided by Banks/Financial Institutions/NBFCs to Lumax FAE Technologies Private Limited for an amount up to ₹8 Crores.
Lumax FAE Technologies is a wholly-owned subsidiary of the company. The transaction will be on arm's length basis. The guarantee is being provided in the company's capacity as holding company. There is no foreseeable impact on the company as the loan is for meeting subsidiary's capex and working capital requirements.
3. New Manufacturing Plant Approval
The Board approved setting up of a new manufacturing plant for Intelligent Ambient Comfort (IAC) Division at Chakan, Maharashtra with capital outlay of approximately ₹156.23 Crores.
The project will cater to new orders received from Mahindra & Mahindra. The capex will be funded by internal accruals. Peak annualized turnover is expected to be around ₹440 Crores post commissioning. The project will be commissioned in two phases:
- First phase by Q4 FY2027
- Second phase by Q1 FY2028

The financial results include exceptional items related to:
1. Impact of Labour Code implementation amounting to ₹960.70 Lakhs (disclosed in FY26 results)
2. Impairment loss of ₹703.97 Lakhs from sale of 50% stake in Lumax Jopp Allied Technologies to Jopp Holding GmbH, Germany (concluded in current quarter)
The results also reflect the merger of two wholly-owned subsidiaries:
- Lumax Ancillary Limited (appointed date April 1, 2024)
- IAC International Automotive India Private Limited (appointed date October 1, 2025)
Both mergers were accounted using pooling of interest method as per Ind AS 103, resulting in restatement of comparative figures for quarter ended June 30, 2025.
