Auditor Qualifications

The auditors noted that:

1. They did not review interim financial statements of two subsidiaries reflecting total revenue of ₹15,550.52 lakhs, net profit of ₹1,723.68 lakhs, and total comprehensive income of ₹1,978.56 lakhs for the quarter. These were reviewed by other auditors.

2. The consolidated results include unaudited financial statements of one subsidiary reflecting total revenue of ₹0.34 lakhs, net loss of ₹(9.33) lakhs, and total comprehensive loss of ₹(9.34) lakhs, which management considers immaterial to the Group.

Important Notes

1. The Board approved a Scheme of Arrangement for demerger of Metal Product business into Manaksia Ferro Industries Limited on March 26, 2025. The Scheme has been approved by BSE, NSE, and SEBI, and is pending NCLT approval. No effect of the proposed demerger has been given in these financial results.

2. Figures for quarter ended March 31, 2026 are balancing figures between audited full-year figures and unaudited published year-to-date figures up to December 31, 2025.

3. Comparative figures have been rearranged/regrouped wherever necessary.
