3. Reappointment and Remuneration of Mr. Shailesh B. Shirguppi: To reappoint as Whole Time Director (Works) for 3 years from July 1, 2026 with monthly remuneration of:
- Basic Salary: ₹95,224 with annual increment up to 20%
- Perquisites & Allowances: ₹82,111 with annual increment up to 20%
- Variable Pay: As decided by Nomination & Remuneration Committee
- Eligible for Provident Fund, Superannuation, Gratuity, Leave encashment, etc.
- Minimum remuneration payable in case of no profits/inadequacy of profits
4. Reappointment of Ms. Madhavi Kilachand: To reappoint as Independent Director for 5 years from June 29, 2026 (not liable to retire by rotation).
5. Ratification of Cost Auditor Remuneration: To ratify payment of ₹125,000 to Cost Auditors for FY 2026-27.
