Board Decisions and Corporate Actions

1. Reappointment of Managing Director:

Based on the recommendations of the Nomination and Remuneration Committee, the Board reappointed Mr. Kuldeep Kumar Dhar (DIN: 00299386) as Managing Director of the Company, not liable to retire by rotation, for a period of 5 years from August 14, 2026, to August 13, 2031. This reappointment is subject to approval by shareholders at the ensuing 39th Annual General Meeting.

Mr. Dhar is a Graduate and CA Inter by qualification with 5 decades of experience in Business Development, Arbitration, Accounts, Legal, and Management. He is not related to any other Director of the Company and is not debarred from holding the office of director by virtue of any SEBI order.

2. 39th Annual General Meeting:

The 39th AGM for the financial year ended March 31, 2026, will be held on Wednesday, September 2, 2026, through Video Conferencing (VC) or Other Audio Visual Means (OAVM). The Register of Members and Share Transfer Register will remain closed from August 27, 2026, to September 2, 2026 (both days inclusive).

AGM Agenda Items:

  • Ordinary Business: Adoption of audited financial statements and reappointment of Mrs. Madhu (DIN: 09065199) who retires by rotation.

Legal and Regulatory Matters

MIDC Land Dispute:

The Company is involved in a legal matter concerning land held as Fixed Assets. The Maharashtra Industrial Development Corporation (MIDC) issued a notice on August 31, 2024, revoking lease rights for land plots E-18, E-19, E-29, and E-30 (aggregating ~76,483 sq. meters) in the Chikalthana Industrial Area, Maharashtra, originally granted under a lease agreement dated July 15, 1980.

The Company has filed a writ petition before the Hon'ble Bombay High Court, Aurangabad Bench, challenging the revocation. The Court has permitted MIDC to take only symbolic possession of the plots, with physical possession remaining with the Company until the final order. The land is valued at ₹20.02 crore in the Company's books. Management believes no adjustment to the carrying value is required at this stage based on the interim relief and is confident of a favorable outcome. The ultimate outcome remains uncertain and dependent on final court adjudication.
