Board Meeting Outcomes

The Board of Directors of NBCC (India) Limited met on August 11, 2026 from 12:30 p.m. to 3:00 p.m. and approved the following:

1. Unaudited Financial Results: Approved the unaudited Financial Results (Standalone and Consolidated) for the quarter ended June 30, 2026.

2. Dividend Declaration: Declared first interim dividend for FY 2026-27 of ₹0.15 per paid-up equity share of ₹1 each. Record date fixed for August 17, 2026.

3. AGM Date: Fixed the 66th Annual General Meeting on September 11, 2026 (Friday) at 12:00 Noon through VC/OAVM.

4. Final Dividend Record Date: Fixed August 28, 2026 as Record Date for the recommended final dividend of ₹0.46 per share for FY 2025-26, subject to shareholder approval.

5. REIT Subsidiary Approval: Accorded in-principle approval for incorporation of a wholly owned subsidiary as Special Purpose Vehicle (SPV) for REIT activities, subject to approval from Ministry of Housing and Urban Affairs/Department of Investment and Public Asset Management (DIPAM).

Emphasis of Matters by Auditor

The statutory auditor, D K Chhajer & Co., highlighted several emphasis matters:

Land and Project Issues:

1. Naya Raipur Land: Carrying value ₹2,099.37 lakh for group housing plot. Lease deed yet to be executed. Construction not started. Extension requested until 2031.

2. Faridabad Land: Carrying value ₹13,216.54 lakh in land bank. Conveyance deed pending due to environmental clearance issues. Provision of ₹1,073.66 lakh created for NRV reduction.

3. NBCC Plaza, Delhi: Additional premium of ₹3,021.78 lakh paid to L&DO for additional FAR. MCD demanding ₹3,224.45 lakh for same. Project on hold. Provision of ₹954.43 lakh created.

4. Kochi Project: Carrying value ₹8,700.91 lakh. Project stalled due to environmental clearance issues. Earlier write-down of ₹8,015.53 lakh reversed in FY26 after Supreme Court order. Company approaching SEAC for EC.

5. Gurugram Project (NBCC Green View): Total provisions/write-offs of ₹46,882.51 lakh recognized due to structural defects. Recovery suit filed for ₹75,000 lakh against contractor. 18 litigations ongoing.

Other Matters:

  • DVAT Demand: ₹40,480.01 lakh demand set aside by Appellate Tribunal, remanded for recalculation. Contingent liability not ascertainable.
  • Foreign Branches: Five foreign branches (Mauritius, Maldives, Seychelles, Jeddah, Dubai) with total income ₹204.83 lakh not reviewed by auditors.
  • Governance Issues: Board composition not compliant with SEBI LODR regulations regarding independent directors and committee compositions.

1. Agartala Project: Completed project with carrying value ₹916.96 lakh. AMC paid ₹500.00 lakh as first installment for acquiring NBCC's share for city hospital.

2. Alwar Project (Aravali Apartments): Carrying value ₹5,806.44 lakh. Firm sales commitment received for ₹5,855 lakh. Provision of ₹1,256.44 lakh reversed.
