Corporate Insolvency Resolution Process (CIRP) Background

The company underwent CIRP until October 23, 2024. The Hon'ble NCLT approved the Resolution Plan of Neueon Consol Private Limited (formerly Preca Structures Private Limited) vide Order IA (IBC) (Plan) 17/2024 in CP(IB) No. 679/7/HDB/2018 dated October 23, 2024. The new Board of Directors was reconstituted on November 6, 2024. During the quarter under review, the company paid IBBI fee, fourth installment, and dues of assignment deed towards financial creditors, with no remaining dues towards financial creditors and other creditors.

Subsidiary Information

The company has three Indian wholly-owned subsidiaries: Neueon Enterprises Limited, Neueon Power Limited, and Neueon Global Limited, and one foreign subsidiary: Digitech Business Systems Limited.

Auditor's Review

Standalone Financials

M/s. ASKM & Co., Chartered Accountants conducted a limited review and issued an unqualified conclusion with an emphasis matter regarding the implementation status of the Resolution Plan.

Consolidated Financials

The auditors issued a qualified conclusion due to inability to review interim financial information of the foreign subsidiary (Digitech Business Systems Limited), which carries a provision of ₹13,993.47 lakh as at March 31, 2026, continuing as at June 30, 2026. The foreign subsidiary's financial information was furnished by management without independent review.

The consolidated results include three Indian subsidiaries with total assets of ₹583.31 lakh as at June 30, 2026 and net loss of ₹8.93 lakh for the quarter.
