The 70th Annual General Meeting was held on Tuesday, 29th September 2026 at 15:00 Hours (IST) through Video Conference (VC) or Other Audio-Visual Means (OAVM). The meeting was chaired by Dr. Prasanna Kumar Acharya, Chairman cum Managing Director. The requisite quorum was present, and the meeting was called to order.
Proposed Resolutions and Implications
The following business items were considered at the AGM:
Ordinary Business:
- Resolution 1: To receive, consider and adopt the Standalone Audited Financial Statements and Consolidated Audited Financial Statements of the Company for the Financial Year ended 31st March 2026, together with the Reports of the Board of Directors and Statutory Auditors thereon and the comments of the Comptroller and Auditor General of India
- Resolution 2: To confirm the Interim Dividend paid @ ₹3.6 per equity share (36%) and to declare the Final Dividend @ ₹0.25 per equity share (2.5%) for the Financial Year 2025-26
- Resolution 3: To appoint a Director in place of Dr. Prasanna Kumar Acharya (DIN: 09625170), who retires by rotation and being eligible, offers himself for re-appointment
- Resolution 4: To appoint a Director in place of Dr. Suresh Chandra Suman (DIN: 09549424), who retires by rotation and being eligible, offers himself for re-appointment

Voting Process
D. Hanumanta Raju & Co, Practising Company Secretaries, was appointed as the Scrutinizer for conducting the E-Voting process in a fair and transparent manner for the AGM. Members who had registered as Speaker Shareholder were invited to present their views and seek answers to their queries/clarifications on the annual accounts and performance of the Company for FY 2025-26.

Consolidated Financial Performance:
- Revenue from Operations: ₹17,490 Crore (14.44% increase from ₹15,283 Crore in FY 2024-25)
- EBITDA: ₹7,475 Crore (all-time high, 14.78% growth from ₹6,513 Crore)
- Profit Before Tax: ₹3,875 Crore (compared to ₹3,697 Crore)
- Profit After Tax: ₹3,769 Crore (all-time high, 38.91% growth from ₹2,714 Crore)
- Capital Expenditure: ₹9,131 Crore (all-time high)
- Net Worth: ₹21,525 crore as of 31 March 2026 (14.96% increase from ₹18,723 crore)
Operational Performance (FY 2025-26):
- All-time highest annual coal production: 19.14 Million Tonnes from Talabira-II & III OCP
- All-time highest annual coal dispatch: 17.69 MT
- Generated 2.26 Billion Units of green energy (all-time highest)
- Renewable energy portfolio reached 1,785 MW with commissioning of 353 MW new capacity
- More than 1 GW of generating capacity added during the year
- Pachwara South Coal Mine (9 MTPA capacity) commenced coal production on 29th March 2026
Q1 FY 2026-27 Performance (April-June 2026):
- Coal production: 4.09 million tonnes (7.84% growth)
- Lignite production: 4.53 million tonnes (16.64% growth)
- Coal despatch: 5.11 million tonnes (24.65% growth)
- Power generation: 8.26 billion units (25% growth)
- Revenue from Operations: ₹4,717 crore (23.29% increase)
- Profit Before Tax: ₹652 crore (9.76% growth)
- Net Worth: ₹22,069 crore (13.11% strengthening)
- NLCIL Group total capacity: 8.4 GW
Dividend Declaration
- Interim Dividend of 36% (₹3.60 per equity share) already declared and paid during FY 2025-26
- Final Dividend of 2.5% (₹0.25 per equity share) recommended for FY 2025-26, subject to shareholder approval
- Total dividend for FY 2025-26 amounts to ₹533.86 Crore (38.5% of paid-up share capital)
Compliance and Regulatory Aspects
The C&AG issued NIL comments on the Company's Standalone and Consolidated Financial Statements during the supplementary audit for FY 2025-26. The company maintains AAA (Stable) credit rating reaffirmed by all six rating agencies.
