Oscar Global Limited has provided prior intimation of a Board of Directors meeting scheduled for Saturday, 14th November 2026. The meeting will be conducted pursuant to Regulations 29, 30, and other applicable provisions of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
The Board will consider and approve the following agenda items:
1. Financial Results: Approval of the Unaudited Financial Results for the second quarter (Q2) and half-year ended 30th September 2026, along with the Limited Review Report of the Statutory Auditors.
2. Board and KMP Reorganisation: Complete restructuring and reorganisation of the Board of Directors and Key Managerial Personnel (KMP), including:
- Proposed induction/appointment of new Executive, Non-Executive, and Independent Directors
- Appointment of Company Secretary
- Noting the resignations of existing Board members and KMPs
- All appointments and changes are subject to necessary statutory and regulatory approvals
3. Alteration of Main Objects: Proposal to alter/amend Clause III (A) (Main Objects Clause) of the Memorandum of Association to incorporate activities related to:
- Travel
- Tourism
- Leisure
- Ticketing
- Hospitality
- Related technologies/services
- Subject to approval of shareholders and other competent authorities
4. Shareholders' Meeting: Consideration and approval of notice, cut-off date, and electronic voting timelines to seek member approval for the proposed alteration of the Main Objects Clause.
5. Other Matters: Any other matter with the permission of the Chair.
Trading Window Closure
In accordance with the Company's Code of Conduct for Prevention of Insider Trading formulated pursuant to SEBI (Prohibition of Insider Trading) Regulations, 2015:
- The Trading Window for dealing in securities of the Company was closed from 1st October 2026
- The Trading Window shall remain closed until 48 hours after the declaration of the Unaudited Financial Results for the quarter and half-year ended 30th September 2026
