2. Director Cessation

Noted the completion of the second consecutive term of Mr Raghu Ravunni Palat (DIN: 00311994) as a Non-Executive Independent Director with effect from August 8, 2026. Mr Palat was initially appointed on August 9, 2016, for a 5-year term and was re-appointed for a second consecutive 5-year term which completed on August 8, 2026.

Legal Proceedings Disclosure

Note 2 describes legal proceedings initiated by the Company for recovery of an advance of ₹150 lakhs. The amount was advanced to Saboo Films Pvt Ltd and Bharat Film Works against film rights, along with interest @ 18% p.a., totaling ₹247 lakh.

On October 31, 2025, the City Civil Court, Mumbai pronounced judgment directing Saboo Films Pvt Ltd (Defendant No. 1) to pay ₹247 lakh plus interest @ 18% p.a. on principal amount of ₹150 lakh from the date of filing the suit (March 22, 2005) till realization.

The Company has filed an appeal against the order on December 23, 2025, in the Bombay High Court on the ground that the decree is only against Defendant No. 1 and exonerates Mrs Rita Rahul Rawal (Prop. Bharat Film Works) (Defendant No. 2). The Company seeks recovery from both defendants jointly and severally. The appeal is pending disposal.

Management considers the ₹150 lakh advance as fully recoverable and consequently no provision has been made.

Auditor's Review

B.D. Jokhakar & Co., Chartered Accountants (Firm Registration No. 104345W) conducted limited review of both standalone and consolidated financial results. Their conclusion states: "nothing has come to our attention that causes us to believe that the accompanying Statement... contains any material misstatement."

The auditors specifically drew attention to Note 2 regarding the legal proceedings but did not modify their opinion.
