Six resolutions were considered and approved:

Ordinary Business:

1. Adoption of Audited Financial Statements (Standalone and Consolidated) for financial year ended March 31, 2026 together with Reports of Board of Directors and Auditors

2. Declaration of dividend on Equity Shares for financial year ended March 31, 2026

3. Re-appointment of Mr. Shivshankar Shripal Tiwari (DIN: 00019058) who retires by rotation

4. Re-appointment of Mr. Mukesh Dahyabhai Patel (DIN: 00009605) who retires by rotation

Special Business:

5. Continuation of Directorship of Mr. Mukesh Dahyabhai Patel as Non-Executive Non-Independent Director beyond the age of 75 years

Voting Process

Remote e-voting facility was provided through CDSL, open from 9:00 A.M. (IST) on July 28, 2026 to 5:00 P.M. (IST) on July 30, 2026. E-voting remained open for 15 minutes after meeting conclusion. M/s P.S. Dua & Associates was appointed as Scrutinizer to supervise the e-voting process.

Dividend Declaration

The Board recommended a final dividend of 30% (equivalent to ₹3 per equity share) for FY2026, subject to shareholder approval.

Strategic Updates

Manufacturing Expansion: ₹100 Crores earmarked for development of two new multi-purpose manufacturing blocks and debottlenecking existing capacities.

R&D Investment: Planned expenditure set to double over next two years. Current development pipeline comprises over 25 products at various stages.

New Products: Contributed approximately 15-16% to revenues during the year, with target to increase to 18-20% over next two years.

Business Development: Entered into three exclusive MoUs with global customers for high-value agrochemicals and intermediates, with commercialization expected over next 12-18 months.

Operational Highlights

  • R&D facilities at Derabassi and Lalru strengthened with advanced chemistry capabilities including hydrogenation, mercultapan chemistry, pressure reactions, Grignard reaction and Flow reactions
  • Both Derabassi and Lalru facilities operate as zero liquid discharge units
  • 10-15% improvements in consumption intensities across flagship products
