Related Party Borrowing Approval
Auditors' Emphasis of Matter
The auditors drew attention to Note 3 of the financial statements regarding an income tax matter. The Company received an order from the Commissioner of Income Tax (Appeals) [CIT(A)] for assessment years 2013-14 to 2020-21 under section 153A of the Income-tax Act, 1961.
- The CIT(A) dropped various additions made by the Assessing Officer.
- For matters related to addition of income/disallowance of expenses aggregating to ₹308 lakhs where the CIT(A) upheld the Assessing Officer's additions, the Company has filed an appeal with the Income Tax Appellate Tribunal, Ahmedabad.
- The Company is hoping for a favorable order and hence has not made any provision in the books of accounts, treating it as a contingent liability.
Minimum Public Shareholding (MPS) Compliance
Pursuant to orders from the Securities Appellate Tribunal (SAT) dated March 9, 2026, upheld by the Supreme Court of India on March 19, 2026, the Company was required to achieve MPS requirements.
- Vital Connections LLP (classified as a Promoter Group member) divested 8,23,422 equity shares (11.55% of paid-up capital) through an Offer for Sale (OFS) on June 22-23, 2026.
- Promoter and Promoter Group shareholding reduced from 86.55% to 75.00%.
- Public shareholding increased to 25.00%, achieving MPS compliance.
- A restraint period commenced on June 24, 2026, for six months, scheduled to conclude on December 23, 2026.
Business Acquisition and Segment Information
The Company entered into an Asset Purchase Agreement (APA) with Cargill India Private Limited (CIPL) on January 19, 2026, to acquire assets of its starch division.
- The acquisition was completed on April 27, 2026.
- On July 7, 2026, the Company acquired a 26% partnership interest in Clean Max Pluto Solar Power LLP (operating a 25.30 MW wind and solar power plant) as part of the same APA.
- The Company is obtaining regulatory approvals to commence manufacturing at the Davangere facility.
- The Q1 FY27 results include operations of the acquired starch division from April 27, 2026, to June 30, 2026, making comparisons with previous periods not directly comparable.
- The main operating segments are Wind Power Generation and Trading Business (Standalone), with Packaged Water Bottling added in Consolidated results.
Discontinued Operations (Subsidiary)
During FY 2022-23, the Paper Division of subsidiary Shree Rama Newsprint Limited was classified as a discontinued operation.
- Assets and liabilities are presented separately.
- The subsidiary continues to dispose of assets piecemeal.
- An additional impairment loss of ₹2,784.33 lakhs was recognized in Q4 FY26 based on a valuer's report as per Ind AS 105.
- Management does not foresee further impairment.

- Figures for the quarter ended March 31, 2026, are balancing figures between audited annual figures and reviewed year-to-date figures up to Q3.
- Previous periods' figures have been regrouped/rearranged for consistency.
The financial results were reviewed by the Audit Committee and approved by the Board of Directors.
