Shradha Realty Q1 Net Profit Up 28% YoY

Mr. Nitesh Vinaykumar Sanklecha (DIN: 03532145) was appointed as a Director (Category: Executive, Non-Independent), liable to retire by rotation. He was also re-appointed as Managing Director & CFO of the Company for a period of Three (3) years w.e.f. 05th September, 2026 to 04th September, 2029.
Mr. Shreyas Sunil Raisoni (DIN: 06537653) was re-appointed as Whole Time Director of the Company for a period of Three (3) years w.e.f. 05th September, 2026 to 04th September, 2029.
Both appointees have confirmed they have not been debarred from holding the office of a Director and have no inter-se relationship with any other Director/s, Key Managerial Personnel, Management and Promoters of the Company.
CS Riddhita Agrawal (ICSI Membership No. F10054) was appointed as the Scrutinizer to conduct and monitor the e-voting process for the 29th AGM.
The statutory auditor is V. K. Surana & Co. (Firm Reg. No. 110634W).

The Board has proposed a final dividend of ₹0.60 (Rupees Sixty paise only) per equity share of face value ₹2, i.e., 30% on the equity shares for FY2025-26, subject to the approval of shareholders at the ensuing 29th Annual General Meeting.
The Record date for the payment of the final dividend is fixed as Friday, the 21st August, 2026.

The auditor's report states: "nothing has come to our attention that causes us to believe that the accompanying Statement... has not disclosed the information required... or that it contains any material misstatement."
The consolidated review report covers 2 subsidiaries and 5 step-down subsidiaries.

Material Related Party Transaction: Disclosed a transaction between subsidiary Active Infrastructures Limited and Stargate Ventures LLP (a related party). The transaction is an 'Investment in Capital' amounting to ₹1,000 Lakhs.
AGM Details: The 29th Annual General Meeting will be held on Friday, 04th September 2026 at 11:45 A.M. through Video Conferencing.
E-voting: The remote e-voting period commences on Tuesday, 01st September 2026 at 9:00 a.m. and ends on Thursday, 03rd September 2026 at 5:00 p.m.
Utilization of Proceeds: A certificate from the auditor confirms that proceeds from a right issue (₹121.50 Crores) were utilized as per the stated objectives in the offer document, with no material deviations.
