1. Audited Standalone & Consolidated Financial Results

The Board approved the un-audited financial results for the first quarter ended 30th June, 2026, based on the recommendation of the Audit Committee. The results were reviewed by the statutory auditors, D.K. Chhajer & Co., who issued a limited review report.

2. Re-appointment of Statutory Auditors

The Board approved the re-appointment of M/s. D. K. Chhajer & Co., Chartered Accountants (Firm Registration No. 304138E) as statutory auditors for a second term of five consecutive years from the conclusion of the 15th Annual General Meeting until the conclusion of the 20th Annual General Meeting, subject to member approval at the ensuing AGM.

3. Re-appointment of Internal Auditors

The Board approved the re-appointment of M/s. K. Baldwa & Co, Chartered Accountants (Firm Registration No. 322118E) as internal auditors for FY 2026-27.

Internal Auditor Profile: K. Baldwa & Co. is a proprietorship concern located at 95A, Chittaranjan Avenue, Kolkata - 700 073, established on 4th September, 1992. The firm is headed by proprietor Kishan Gopal Baldwa (Membership No. 050737, holding Certificate of Practice since 10th April, 1979). The firm has experience in Bank Branch Audits, Internal Audits of Public Limited Companies, and statutory audit assignments of various Private Limited Companies, Partnership Firms, and Proprietorship Concerns.

4. Annual General Meeting and Book Closure

The 15th Annual General Meeting will be held on Friday, 25th September, 2026 at 02:00 p.m. through Video Conferencing/Other Audio Video Means facility.

The Register of Members and Share Transfer Books will remain closed from Saturday, 19th September, 2026 to Friday, 25th September, 2026 (both days inclusive) for the purpose of the AGM.

The Annual Report for 2025-26, including the AGM Notice with e-voting process details, will be sent electronically to members with registered email addresses.

Critical Notes to Financial Results

1. Manufacturing Operations Discontinuation

The Company ceased production at its manufacturing facility at EPIP, Rajabagan, Bymihat, District-Ri-Bhoi, Meghalaya - 793101 with effect from 7th May 2025. Shareholder approval for disposal of the manufacturing business was obtained on 9th February 2026. Manufacturing assets have been classified as "Non-current assets held for sale" under Ind AS 105.

2. Going Concern Assessment

Despite manufacturing discontinuation, the Company continues as a going concern and earns interest income from its substantial investment portfolio (classified as "Other Income"). The Company has positive net worth and sufficient liquid assets (investments) to meet liabilities as they fall due. Management confirms no material uncertainty exists regarding the Company's ability to continue as a going concern for at least twelve months from the results date, based on cash flow projections, investment portfolio value, and expected proceeds from asset sales.

3. Segment Information

The Company was primarily engaged in ferro silicon manufacturing (now discontinued). There are no separate reportable segments per Ind AS 108. Revenue from Operations consists only of sale of Raw Materials classified under discontinued operations.

4. Comparative Figures

Figures for quarter ended 31st March, 2026 are balancing figures between audited full-year FY26 figures and published unaudited year-to-date figures up to Q3 FY25 (which were subject to limited review only).
