Dividend Declaration

The Board declared an Interim Dividend of 300% i.e. ₹6 per share (Face Value ₹2 each) for the Financial Year 2026-27. The record date is fixed as Friday, 13th November 2026. The dividend will be paid within 30 days from the date of declaration.

Subsidiary Acquisition

The Board approved acquisition of up to 25% of paid-up equity share capital (up to 24,75,000 equity shares) in Somany Sanitary Ware Private Limited (SSWPL), a subsidiary of the Company. This will increase the Company's shareholding from 51% to up to 76%. The acquisition will be made in one or more tranches from time to time from existing shareholders.

Exceptional Item

The Company settled a Haryana tax dispute under the One Time Settlement Scheme for the Recovery of Outstanding Dues, 2026. The settlement amount of ₹237 lakhs has been recognized as an exceptional gain in the financial results.

Auditor's Review

Singhi & Co., Statutory Auditors, issued limited review reports for both standalone and consolidated financial results. For consolidated results, they noted they did not review interim financial results of seven subsidiaries (with total assets of ₹10,216 lakhs) and three subsidiaries (with total assets of ₹37,269 lakhs), relying on other auditors' reports for these entities.
