Director Re-appointment

The Board approved re-appointment of Mr. Rajeev Kumar Jain (DIN: 07905985) as Non-Executive Independent Director for a second term of 5 consecutive years commencing from September 3, 2026, subject to shareholder approval at the ensuing AGM. His first tenure expires on September 2, 2026.

Mr. Jain is a 1991 batch Indian Information Service officer with 33-year career in government communication, serving as Director General of Press Information Bureau under Ministry of Information & Broadcasting, and currently Director General (Media & Communication) for Ministries of Housing & Urban Affairs and Petroleum & Natural Gas. He is not related to any other director and not debarred from holding director office.

Other Income Adjustments

Other income includes net amount of ₹41.34 lakh after offsetting:

  • ₹1,028.19 lakh from "Unwinding of deferred income" from gain on early repayment option of sustainable debt
  • ₹986.85 lakh from "amortisation of discounting on fair valuation of sustainable debt" using effective interest rate method
  • Both adjustments arise from Master Restructuring Agreement with NARCL executed on May 17, 2024
