Key Notes and Disclosures

Note 3 (Significant for both Consolidated and Standalone): Other non-current financial assets include ₹140.27 crore receivable from Kanaka and Associates, a partnership firm. The company was a partner until 6 October 2020. A dispute exists regarding the alleged illegal sale of the firm's assets by the other partner. An arbitration award dated 4 May 2018 was in the company's favor, but this has been challenged in the Hon'ble Bombay High Court (no stay granted). Management, based on the award and legal opinion, believes the amount is fully recoverable. The company's share of profit/(loss) from 1 April 2015 to 6 October 2020 has not been accounted for due to unavailability of the firm's financial statements. Management views the impact as immaterial due to no operations in the firm during that period.

Note 4 (Consolidated): Non-current investments include ₹179.02 crore in the joint venture Piramal Sunteck Realty Private Limited (PSRPL). PSRPL's non-current financial assets include ₹171.55 crore (Group's share: ₹85.77 crore) paid to CIDCO as an additional lease premium under protest. This was due to delays in obtaining approvals and a wrong interpretation of rules by the authority, later clarified by the Government of Maharashtra. PSRPL has filed a writ petition in the Hon'ble Bombay High Court challenging this levy, pending hearing. Management, based on legal opinion, believes this amount is fully recoverable.

Note 7 (Consolidated and Standalone): The company exercised the option to adopt the concessional tax regime under Section 115BAA of the Income-tax Act, 1961. Consequently, deferred tax assets and liabilities were remeasured, resulting in a one-time tax impact recognized in the current period tax expense.

Subsidiaries and Joint Ventures: The consolidated results include 37 subsidiaries and 2 joint ventures. The auditor's review relied on reports from other auditors for 37 subsidiaries and 2 joint ventures.

Subsidiary Investment: The company subscribed to 10,000 equity shares (₹10 face value, ₹1.00 lakh each) in three wholly-owned subsidiaries incorporated in 2026: Eminara Realty Private Limited, Eminara Lifespace Private Limited, and Eminara Buildcon Private Limited.

Capital Structure Impact

Paid-up equity share capital (face value ₹1 each) remained largely unchanged at ₹146.84 crore as of 30 September 2026 (30 September 2025: ₹146.49 crore; 31 March 2026: ₹146.64 crore).

Financial Impact

All financial impacts are quantified in the disclosed results. The notes regarding receivables from Kanaka and Associates and the investment in PSRPL represent contingent exposures where management believes no provision for impairment is required.
