3. E-voting Cut-off Date: Fixed the cut-off date for e-voting as Thursday, September 17, 2026.

Auditor's Review Report
Price Waterhouse Chartered Accountants LLP issued a review report with an unmodified conclusion on both consolidated and standalone financial results. The review was conducted in accordance with SRE 2410 issued by ICAI.
Key observations in consolidated review:
- Financial information of one subsidiary (representing total income of ₹245.53 million, net profit of ₹4.16 million) was reviewed by other auditors with unmodified conclusions.
- Financial information of two subsidiaries (representing total income of ₹15.66 million, net loss of ₹(17.71) million) was not reviewed by their auditors as they were not material to the Group.
Notes to Financial Statements
1. Consolidated Entities: Includes Tarsons Products Limited (Holding Company), Tarsons Life Science Pte. Ltd., Singapore (100% subsidiary), Nerbe plus GmbH & Co. KG, Germany (100% subsidiary), and Nerbe R&D GmbH, Germany (100% subsidiary).
2. New Labour Codes: Effective November 1, 2025, the Government of India consolidated multiple labour legislations into four Labour Codes. The Company had assessed and disclosed an incremental impact of ₹11.27 million in FY2026 financial results, primarily due to changes in the definition of wages and recognition of past service costs. The government is in the process of notifying related rules, and the exact quantification will be evaluated as per applicable accounting standards.
3. Managerial Remuneration: During FY2026, the Company paid excess remuneration of ₹1.67 million to its Managing Director, ₹20.51 million to its Whole Time Director, and ₹1.21 million to Other Directors, resulting in overall excess remuneration of ₹41.39 million. The Company is in the process of seeking approval for waiver of this excess remuneration through a special resolution in the ensuing general meeting.
4. Segment Reporting: The Company operates primarily in the business of manufacturing and selling plastic laboratory products and certain scientific instruments, which represents a single business segment. Geographical segments are reported as India, Germany, and Rest of the World.
