Strategic Actions / Disinvestment

The Board approved a Composite Scheme of Arrangement and Amalgamation among Thomas Cook (India) Limited and its wholly owned subsidiaries (Sterling Holiday Resorts Limited, TC Visa Services (India) Limited, Jardin Travel Solution Limited, and Borderless Travel Servies Limited). The scheme provides for:

1. Demerger of the Resorts and Resort Management business of TCIL into Sterling Holiday Resorts Limited

2. Consolidation of 4 equity shares of TCIL (face value ₹1 each) into 1 equity share (face value ₹4 each)

3. Amalgamation of TC Visa Services (India) Limited, Jardin Travel Solution Limited, and Borderless Travel Servies Limited with TCIL

4. Reduction of paid-up equity share capital of TCIL by reducing face value from ₹4 to ₹3 per equity share

Shareholders of TCIL will receive 81 shares of SHRL for every 100 shares held in TCIL as consideration for the demerger.

The scheme has been forwarded to NSE and BSE, who have submitted it to SEBI for observations. The company has incurred ₹2.0 million in legal and professional fees for the scheme during Q1 FY2027.
