Financial Performance Highlights

TPL Plastech reported strong financial results for FY 2025-26 with standalone revenue from operations increasing by 20.96% to ₹42,255.33 lakhs (₹422.55 crore) from ₹34,933.51 lakhs in FY25. Profit before tax rose 23.84% to ₹3,730.48 lakhs, while profit after tax grew 23.20% to ₹2,907.24 lakhs (₹29.07 crore). On a consolidated basis, net profit reached ₹290.71 crore.

Dividend Declaration

The board recommended a final dividend of ₹1.30 (65%) per equity share of face value ₹2 each for FY 2025-26, subject to approval at the 33rd Annual General Meeting scheduled for September 22, 2026. If approved, this will result in a cash outflow of ₹10.14 crore. The record date is set for Tuesday, September 15, 2026.

Balance Sheet & Operational Metrics

The company's gross property, plant and equipment stood at ₹121.09 crore (₹118.30 crore in FY25) with net carrying amount of ₹88.06 crore. Inventories were valued at ₹68.27 crore, while trade receivables totaled ₹62.60 crore. The company maintained healthy financial ratios with current ratio of 1.98 and debt-equity ratio of 0.10. Return on equity improved to 18.39% from 16.91% in the previous year.

Corporate Governance & Board Changes

Mr. Pradip Kumar Das was appointed as Additional Director designated as Non-Executive, Independent Director effective August 4, 2026, requiring shareholder approval for a five-year term until August 3, 2031. Mr. Mangesh Sarfare retires by rotation and is eligible for reappointment. The board comprises 6 directors with optimum combination of executive, non-executive and independent directors, including one woman director.

Material Related Party Transactions

Shareholder approval is sought for material related party transactions with Time Technoplast Limited (Holding Company) for up to ₹925 crore across FY 2026-27 and FY 2027-28, and with Avion Exim Private Limited for up to ₹260 crore over the same period. These transactions are in the ordinary course of business at arm's length basis and were approved by the Audit Committee.

Subsidiary & Corporate Structure

The company has one wholly-owned subsidiary, Prokube Containers Private Limited, established to expand business operations but not yet operational. Time Technoplast Ltd holds 74.86% of the equity share capital. The company maintains credit ratings of CRISIL A+/Stable for long-term facilities and CRISIL A1 for short-term facilities.

Risk Management & Disclosures

The company is exposed to market risk (interest rate, foreign currency), credit risk, and liquidity risk. Interest rate exposure includes variable rate borrowings of ₹17.63 crore. Foreign currency risk includes hedged exposure of USD 875,880 and unhedged exposure of USD 994,500. The company has undrawn borrowing facilities of ₹38.24 crore available.

AGM Details & Compliance

The 33rd AGM will be held on September 22, 2026, via Video Conferencing to address adoption of financial statements, dividend declaration, director appointments, and approval of related party transactions. The company confirmed compliance with SEBI Listing Regulations and maintains four board committees: Audit, Nomination & Remuneration, Stakeholders Relationship, and CSR.
