Auditors issued a qualified opinion due to two significant arbitration cases:

TYC Parties Dispute: Relates to ₹209.89 million revenue recognition from Chongqing Varroc TYC Auto Lamps Co., Ltd. (erstwhile joint venture) with additional claims under Transition Management Agreement.

OPmobility Arbitration: Involves claims of US$66.41 million plus legal costs for alleged breaches of Securities Purchase Agreement covenants.

The company has filed defenses in both cases and believes it has strong legal grounds, with no provisions made in the financial statements.

Subsidiary Operations & Investments

Varroc provided loans of ₹194.52 million to its Dutch subsidiary VarrocCorp Holding B.V., which were utilized for equity investments in Polish and Chinese subsidiaries (₹74.83 million and ₹8.73 million respectively) and loans to Varroc Germany GmbH (₹21.29 million). The company confirmed compliance with FEMA and Companies Act regulations for these transactions.

Long-term vision targets revenue exceeding ₹200,000 million by FY2031 with ROCE well above 25% and near-zero net debt balance sheet by FY28.
