Significant Events and Transactions

1. Acquisition of Twizza: The Beverage Company Proprietary Limited (Bevco), subsidiary in South Africa, acquired 100% share capital of Twizza Proprietary Limited at enterprise value of ZAR 2,053 million (₹11,398 million) effective March 18, 2026. Twizza manufactures and distributes non-alcoholic beverages.

2. Pending Acquisition: Bevco entered binding agreement to acquire 100% stake in Crickley Dairy Proprietary Limited for ZAR 238 million (₹1,314.68 million), subject to regulatory approvals. Expected completion by September 30, 2026.

3. Investment in Renewable Energy: Company subscribed 29.99% equity in FPEL HR2 Energy Private Limited for ₹15.84 million and acquired additional 23% equity in Jager Renewables Two Private Limited for ₹70.51 million (now holds 49%).

4. Revised PepsiCo Agreement: On May 21, 2026, entered revised exclusive bottling appointment and trademark license agreement with PepsiCo extending term until April 30, 2049 (from April 30, 2039) and removing business restrictions.
